In the event that you have requested, and we have agreed to make available to you, a white-label branded application for Your Customers and/or End Users with your branding, you hereby grant us a perpetual, worldwide, royalty-free license to use your trademarks, trade dress, logos, display, etc. (“Your Trademarks”) for use and display in connection with such white-label branded applications.
License To Use Our Services:
Subject to these Terms, we grant to you a limited, non-exclusive, non-transferable license to use our Services for your internal use and not for resale or further distribution. Your right to use our Services is limited by all terms and conditions set forth in these Terms. Except for your pre-existing rights and this license granted to you, we and our licensors retain all right, title and interest in and to our Services, including all related intellectual property rights. Our Services are protected by applicable intellectual property laws, including UAE copyright law and international treaties. Weego warrants to Customer: (i) that commercially reasonable efforts will be made to maintain the online availability of the Service for a minimum of availability in any given month (excluding maintenance outages, force majeure, and outages that result from any Customer technology issues or third party vendor issues); (ii) the functionality or features of the Service may change but will not materially decrease during any paid term; and (iii) that the Support may change but will not materially degrade during any paid term.
DISCLAIMER: WEEGO DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE AND FITNESS FOR A PARTICULAR PURPOSE. WHILE WEEGO TAKES REASONABLE PHYSICAL, TECHNICAL AND ADMINISTRATIVE MEASURES TO SECURE THE SERVICE, WEEGO DOES NOT GUARANTEE THAT THE SERVICE CANNOT BE COMPROMISED. CUSTOMER UNDERSTANDS THAT THE SERVICE MAY NOT BE ERROR FREE, AND USE MAY BE INTERRUPTED.
All Invoices will be issued in USD. All invoices will be made on actual usage of services and send on registered email id on the first-day of every calendar month. Mode of payment shall be debit/credit card and it will be auto-debited on the first-day of every calendar month. Registration fee is free of cost and you need to provide us with valid credit/debit card information and authorize us to charge such credit/debit card for all services you opt for. Our fees do not include any taxes, levies, duties or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever (collectively, “Taxes”). You are responsible for paying all taxes associated with your purchases hereunder. If any amount owing by You under this or any other agreement for Our services is 30 or more days overdue (or 10 or more days overdue in the case of amounts You have authorized Us to charge to Your credit card), We may, without limiting Our other rights and remedies, accelerate Your unpaid fee obligations under such agreements so that all such obligations become immediately due and payable, and suspend Our services to You until such amounts are paid in full. We will give You at least 6 days’ prior notice that Your account is overdue.
Once you have activated any prepaid plan, the subscription cost will be deducted on the 1st day of every month which is non-refundable.
If Customer has not agreed to pay for the Service, then Customer is under a trial period as designated by Weego. During the trial period, the Service is provided AS IS. All data may be deleted at the end of the trial period, unless Customer converts to a paid account.
From time to time, Weego may grant Customer access to “alpha”, “beta”, or other early-stage products (“Beta Releases“). While Weego may provide assistance with Beta Releases in its discretion, notwithstanding anything to the contrary in this Agreement, CUSTOMER AGREES THAT ANY BETA RELEASE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CUSTOMER FURTHER ACKNOWLEDGES AND AGREES THAT BETA RELEASES MAY NOT BE COMPLETE OR FULLY FUNCTIONAL AND MAY CONTAIN BUGS, ERRORS, OMISSIONS, AND OTHER PROBLEMS FOR WHICH WEEGO WILL NOT BE RESPONSIBLE. ACCORDINGLY, ANY USE OF A BETA RELEASE IS AT CUSTOMER’S SOLE RISK. Weego makes no promises that future versions of a Beta Release will be released. Weego may terminate Customer’s right to use any Beta Release at any time for any reason or no reason in Weego's sole discretion, without liability.
Our Services are designed to allow you to assign orders to field workers, communicate with your field workers and customers (“Users”), and view information pertaining to your field workers’ activity. We do this in part using GPS and other sensors on devices running our applications. Information is automatically collected from or about your Users and field workers when you use our Services and may include geographic coordinates. You agree to comply with all applicable privacy and data protection regulations.
Further, you agree to not use our service to send us sensitive information where unauthorized disclosure could cause material, severe, or catastrophic harm or impact to us, any data subjects or relying parties. Sensitive Information including but not limited to:

Personally identifiable information knowingly collected from children under the age of 13 or from online services directed toward children and Real-time geolocation data which can identify an individual.
Business secrets deemed highly confidential (e.g., highly-confidential business strategies and communications, sensitive attorney-client privileged and confidential communications).
We collect, store, and use your User data on our servers to provide you with the ability to better maintain and improve your Services. Our Services transfer data to servers that store User data in the U.S. and outside the U.S which is compliant to the GDPR regulations. We only share User information (Name, email and phone numbers) for third-party integrations such as SMS gateways, Email gateways and Payment Gateways.
Weego provides access to its application-programming interface (API) as part of the Service for no additional fee. Subject to the other terms of this agreement, Weego grants Customer a non-exclusive, non-transferable, terminable license to interact only with the Service as allowed by the API.
Customer may not use the API in a manner--as reasonably determined by Weego--that exceeds reasonable request volume, constitutes excessive or abusive usage, or fails to comply with any part of the API. If any of these occur, Weego can suspend or terminate Customer’s access to the API on a temporary or permanent basis.
Weego may change or remove existing endpoints or fields in API results upon at least 30-day notice to Customer, but Weego will use commercially reasonable efforts to support the previous version of the API for at least 6 months. Weego may add new endpoints or fields in API results without prior notice to Customer.
The API is provided on an AS IS basis. Weego has no liability to Customer as a result of any change, temporary unavailability, suspension, or termination of access to the API.
Privacy And Data Protection:
Weego is firmly committed to protecting the privacy of your personal information and the personal information of your customers. We are in compliance with the additional requirements for the restricted scope with Google Cloud Platform through which the App’s use of information received from Gmail APIs will adhere to Google's Limited Use Requirements.
Terms & Termination:
This agreement continues until all orders have expired or are terminated. If either party is in material breach of this agreement, the other party may terminate this agreement at the end of a written 30-day notice/cure period, if the breach has not been cured.
Within 60-days after termination, upon request, Weego will make the Service available for Customer to export such data. After such 60-day period, Weego has no obligation to maintain the Customer Data and may destroy it.
Upon termination of this agreement for any reason, Customer must pay Weego for any unpaid amounts, and destroy or return all property of Weego. Upon Weego’s request, Customer will confirm in writing its compliance with this destruction or return requirement.
Weego may temporarily suspend the Service or remove the applicable Customer Data, or both, if it in good faith believes that, as part of using the Service, Customer has violated a law. Weego will attempt to contact Customer in advance.
Weego will defend or settle any third-party claim against Customer to the extent that such claim alleges that the Weego technology used to provide the Service violates a copyright, patent, trademark or other intellectual property right, if Customer, promptly notifies Weego of the claim in writing, cooperates with Weego in the defense, and allows Weego to solely control the defense or settlement of the claim. Costs. Weego will pay infringement claim defense costs incurred as part of its obligations above, and Weego negotiated settlement amounts, and court awarded damages. Process. If such a claim appears likely, then Weego may modify the Service, procure the necessary rights, or replace it with the functional equivalent. If Weego determines that none of these are reasonably available, then Weego may terminate the Service and refund any prepaid and unused fees. Exclusions. Weego has no obligation for any claim arising from: Weego’s compliance with Customer’s specifications; A combination of the Service with other technology where the infringement would not occur but for the combination; Use of Customer Data; or Technology not provided by Weego. This section contains Customer’s exclusive remedies and Weego’s sole liability for intellectual property infringement claims.
To the extent allowed by law, if any third-party brings a claim against Weego related to Customer acts, omissions, data or information within the Services, Customer must defend, indemnify and hold Weego harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
